The 9th General Meeting of Stockholders

On March 27, Doosan Infracore held its 9th annual general shareholders’ meeting at the Incheon Chamber of Commerce. Shareholders voted to approve the following six agenda items: △ financial statements for 2008 △partial revisions to the articles of incorporation △the appointment of the new board of directors △the appointment of audit committee members △the compensation limit for directors and △ the endowment of stock options.
The reported and subsequently approved operating results of the company stood at more than 3.96 trillion KRW in sales, 347.3 billion KRW in operating profits and 121.8 billion KRW in net profit.
In addition, Chairman Jae-Kyeong Lee of Doosan Corporation; Vice Chairman Jung-Won Park of Doosan Construction & Engineering; and Vice President O-Gyoo Lee of Doosan Infracore (Head of Finance & Administration) were appointed as inside directors, while President Yong-Seong Kim of Doosan Infracore was reappointed for another term. Myoung-Jae Lee (Corporate Lawyer at Bae, Kim & Lee LLC), Ho Yang (Adjunct Professor of Economics at Sogang University’s Postgraduate College), Yoing-Tak Lee (Director of the Institute for Global Economics) and Yong-Suk Yoon (Lawyer at Lee & Ko) were appointed as outside directors.
Meanwhile, Vice-Chairman Seung-Cheol Choi declared that “the company will focus on: △achieving the best cost and quality competitiveness in the industry △developing technology that can provide a distinctive competitive edge and △building an operational infrastructure that will enable Doosan to be truly global. In the process, operating profit should rise by approximately 20 percent over 2008, and the platform will be completed for making Doosan Infracore one of the world’s top three construction makers and top five infrastructure support businesses.”
